This User Agreement ("Agreement") is entered into between Paygoz Inc. ("Paygoz", "we", "us", or "our") and the entity or individual ("you", "your", or "Organization") that registers for and uses the Paygoz payment services.
Paygoz acts as a technical service provider that facilitates payment processing. We are not a party to the underlying transaction between you and your customers. Paygoz cannot be held liable for the products or services acquired by customers through your use of our platform.
By registering for a Paygoz account, you agree to be bound by this Agreement, our Privacy Statement, and any applicable policies referenced herein.
The following terms shall have the meanings set forth below throughout this Agreement:
To use the Payment Services, you must complete the registration process and provide accurate, current, and complete information including your legal business name, registered address, tax identification number (EIN), and details of ultimate beneficial owners. Failure to provide or maintain accurate information may result in immediate suspension of your Account.
You must register all websites and applications through which you use the Payment Services. Paygoz reserves the right to review your website(s) at any time. If your website contains content that is illegal, fraudulent, or otherwise in violation of applicable law or this Agreement, Paygoz may suspend or terminate your Account with immediate effect.
Paygoz will conduct identity verification, risk assessment, and credit checks as required by applicable law and our internal policies. You authorize Paygoz to obtain and verify information about you and your business from third parties, including credit reporting agencies and government databases. Paygoz reserves the right to decline any registration at its sole discretion.
Paygoz will endeavor to keep the Payment Module available at all times but cannot guarantee uninterrupted service. Scheduled maintenance will be performed during off-peak hours with reasonable advance notice where possible. Paygoz shall not be liable for any temporary unavailability of the Payment Module.
Paygoz offers multiple payment methods, each with distinct characteristics, processing times, and applicable rules. The availability of payment methods may vary by region and business type. Paygoz may automatically enable certain payment methods for your Account and reserves the right to add, modify, or discontinue payment methods at any time.
Transactions processed in currencies other than your primary settlement currency will be converted at the prevailing exchange rate plus an applicable conversion fee as specified on our Pricing page. Multi-currency settlement may be available for eligible accounts upon request.
Platform Merchants may use Paygoz Connect to integrate payment services for their Sub-merchants. Features include split payments, gross settlements, and customizable fund routing. Platform Merchants are responsible for ensuring their Sub-merchants comply with this Agreement and all applicable laws.
If you use Paygoz Terminals for in-person payments, you must comply with all applicable Terminal specifications, keep Terminal software up to date, and follow Paygoz's guidelines for device usage, maintenance, and security. Paygoz reserves the right to remotely update Terminal software as necessary.
Paygoz may from time to time offer experimental or beta features. Such services are provided "as is" with no warranties of any kind. Paygoz may discontinue beta services at any time without notice or liability.
You may not use the Payment Services to process payments for illegal products or services, or for activities that violate applicable law, card network rules, or Paygoz policies. Paygoz maintains a list of prohibited activities which may be updated from time to time without prior notice. Violation of this section may result in immediate termination of your Account.
You are solely responsible for ensuring that your business operations comply with all applicable federal, state, and local laws and regulations. You must obtain and maintain all necessary licenses and permits. Paygoz does not provide legal advice and makes no representation regarding the legality of your business activities.
Your website or application must clearly display your contact information, pricing, delivery terms, refund and cancellation policies, payment conditions, and any applicable subscription or recurring billing terms.
You bear sole responsibility for handling customer complaints and providing customer support. Paygoz may, at its sole discretion, issue refunds to customers in exceptional cases involving suspected fraud or consumer protection concerns.
Paygoz holds your funds in segregated accounts at licensed financial institutions in accordance with applicable regulations. These funds remain your property and are held solely for the purpose of facilitating settlements to you.
Paygoz will deduct applicable service fees from your Balance or invoice you as specified on our Pricing page. If any fees remain unpaid for more than thirty (30) days, Paygoz may suspend or terminate your Account. You are responsible for all taxes applicable to your use of the Payment Services.
You are responsible for verifying the accuracy of all transactions processed through your Account. Paygoz and its financial partners are not a party to the contractual relationship between you and your customers.
You bear full responsibility and liability for all Chargebacks, regardless of the reason. Paygoz may deduct Chargeback amounts and associated fees from your Balance. If your Chargeback rate exceeds industry thresholds, Paygoz may impose additional fees, require a reserve, or terminate your Account.
Settlements are typically processed within one (1) to three (3) Business Days via ACH transfer or wire transfer. You may configure your payout schedule through the Dashboard. Paygoz may apply minimum settlement amounts. The first five (5) payouts per month are free; additional payouts are subject to a fee as specified on our Pricing page.
Paygoz may hold a percentage of your transaction volume or a specified amount on a rolling basis as security against potential Chargebacks, refunds, or other liabilities. Rolling reserves may be applied to accounts in high-risk industries or with elevated Chargeback rates.
Paygoz may require you to provide collateral or a guarantee to secure potential future liabilities. The amount and form of such guarantee shall be determined by Paygoz based on your risk profile.
Paygoz may terminate this Agreement with immediate effect upon suspected fraud. Paygoz applies default fraud screening and security measures to all transactions. Paygoz reserves the right to add, modify, or remove fraud screening rules without prior notice.
You must implement recommended security procedures including multi-factor authentication for Account access. You are responsible for maintaining the security of your API keys, credentials, and any access to your Account. You must notify Paygoz immediately of any unauthorized access or security breach.
Both parties shall maintain strict confidentiality of all non-public information exchanged under this Agreement, except as required by law or regulatory authority. Paygoz may access, aggregate, and use non-personally identifiable data for the purpose of improving its services, conducting analytics, and generating industry reports.
Both parties are independent data controllers with respect to the personal data they process in connection with this Agreement. Each party is responsible for its own compliance with applicable data protection laws, including but not limited to the California Consumer Privacy Act (CCPA) and other state privacy laws. You must obtain all necessary consents from your customers before sharing their personal data with Paygoz.
You must comply with the Payment Card Industry Data Security Standard (PCI-DSS) to the extent applicable to your business. You must not store, process, or transmit cardholder data except in accordance with PCI-DSS requirements.
You must report any actual or suspected data breach affecting personal data processed in connection with this Agreement to Paygoz within forty-eight (48) hours of discovery. Paygoz implements reasonable security measures to protect personal data but cannot guarantee that breaches will not occur.
To the maximum extent permitted by applicable law, Paygoz's total aggregate liability under this Agreement shall be limited to the total fees paid by you to Paygoz during the twelve (12) months immediately preceding the event giving rise to the claim, or ten thousand US dollars ($10,000), whichever is less. In no event shall Paygoz be liable for any indirect, incidental, special, consequential, or punitive damages. Claims must be submitted within three (3) months of the event giving rise to the claim.
You shall indemnify, defend, and hold harmless Paygoz and its officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Payment Services; (b) your breach of this Agreement; (c) your violation of any applicable law; (d) any dispute between you and your customers; or (e) any fines or penalties imposed by card networks or regulatory authorities as a result of your actions.
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, cyberattacks, or labor disputes.
This Agreement commences upon the activation of your Account and continues for an indefinite term until terminated by either party in accordance with this section.
Either party may terminate this Agreement by providing two (2) months' written notice to the other party. You may submit termination requests through your Dashboard or by contacting support@paygoz.com.
Paygoz may terminate this Agreement with immediate effect if: (a) you engage in illegal activities or use the Payment Services for prohibited purposes; (b) you become insolvent, file for bankruptcy, or are subject to receivership; (c) you materially breach this Agreement and fail to cure such breach within ten (10) days of notice; (d) your Chargeback rate exceeds acceptable thresholds; or (e) continued provision of services would expose Paygoz to legal or regulatory risk.
Upon termination, Paygoz will settle any remaining Balance to your designated bank account, less any amounts owed to Paygoz for fees, Chargebacks, refunds, or other liabilities. Paygoz may hold funds for up to one hundred eighty (180) days following termination to cover potential Chargebacks and refunds. Sections of this Agreement that by their nature should survive termination shall remain in effect.
Paygoz may amend this Agreement at any time by providing at least thirty (30) days' prior notice via email or through the Dashboard. If you do not agree with the proposed amendments, you may terminate this Agreement by providing written notice before the amendments take effect. Continued use of the Payment Services after the effective date of any amendment constitutes your acceptance of the amended terms.
Paygoz retains all rights, title, and interest in and to the Payment Services, including all intellectual property rights. Paygoz grants you a limited, non-exclusive, non-transferable, revocable license to use the Payment Services and related trademarks solely for the purposes contemplated by this Agreement. Each party may reference the other party's name and logo in marketing materials with prior written consent.
Paygoz provides reasonable technical support during business hours. Any service outages must be reported within two (2) hours of discovery. Complaints should be directed to support@paygoz.com. Paygoz will acknowledge complaints within five (5) Business Days and endeavor to resolve them within thirty (30) Business Days.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws provisions. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.
You may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of Paygoz. Paygoz may assign this Agreement to any affiliate or successor entity without your consent.
This Agreement, together with the Privacy Statement and any applicable policies referenced herein, constitutes the entire agreement between you and Paygoz with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings.
This section applies only if you participate in the Paygoz Partner Programme.
The Paygoz Partner Programme enables eligible partners to connect or refer merchants to Paygoz. Partners may receive commissions or other benefits as set forth in their individual Partner Agreement. Participation in the Partner Programme is subject to Paygoz's approval and ongoing compliance with this Agreement and any additional partner terms.
Partners must ensure that all merchants they connect or refer to Paygoz are legitimate businesses operating in compliance with applicable law. Partners must not make any representations or warranties on behalf of Paygoz unless expressly authorized in writing. Partners are responsible for maintaining accurate records of all referrals and connected merchants.
Partner commissions are calculated and paid in accordance with the financial terms set forth in each individual Partner Agreement. Paygoz reserves the right to modify commission structures with thirty (30) days' prior notice. Commissions may be withheld or clawed back in cases of fraud, merchant default, or breach of this Agreement.
